iotta Commercial License

DRAFT — business terms, not legal advice. Have qualified counsel review and adapt this before offering iotta commercially. Bracketed fields (licensor entity, governing law, contact) must be completed.

This Commercial License governs the paid use of iotta. It is granted in addition to the Functional Source License 1.1 (LICENSE) that covers the iotta source code; it does not reduce any rights the FSL already grants for that source. The paid rights below apply only while a valid commercial License Key / subscription is in effect.

1. Definitions

  • Licensor — Tangled Wires (the copyright holder; an LLC in formation — finalize the exact legal name/form, e.g. "Tangled Wires, LLC", once registered).
  • Licensee — the individual or entity that obtains a commercial License Key.
  • Software — iotta, as provided in this repository.
  • Free Edition — the Software run without a commercial License Key: the full development platform, limited to the built-in device cap (default: 10 active devices).
  • Commercial Features — capabilities reserved to the paid edition: operating beyond the device cap, and the commercial-only modules (e.g. multi-user roles + audit log, advanced rollout automation, long-retention analytics).
  • License Key — the signed entitlement issued by the Licensor that enables Commercial Features and a Licensee's permitted device count / tier.

2. Grant

Subject to a valid, paid License Key and the Licensee's compliance with these terms, the Licensor grants the Licensee a non-exclusive, non-transferable, non-sublicensable license, for the term of the purchased subscription, to enable and use the Commercial Features and to operate the Software up to the device count / tier specified by the License Key.

3. Restrictions

The Licensee shall not:

  1. enable, access, or use the Commercial Features, or operate beyond the Free Edition device cap, without a valid License Key for the corresponding scope;
  2. circumvent, disable, remove, or tamper with the device-cap enforcement, the License Key verification, or any entitlement check, in order to use Commercial Features or exceed the licensed scope;
  3. share, resell, sublicense, rent, or transfer a License Key;
  4. remove or obscure licensing, copyright, or attribution notices.

Rights granted to the source by the FSL — to read, modify, and self-host for a Permitted Purpose — are unaffected; these restrictions apply to the paid use that a License Key enables.

4. Ownership

The Software is licensed, not sold. The Licensor retains all rights not expressly granted.

5. Term & Termination

This license runs for the subscription term. It terminates automatically on expiry, on non-payment, or on breach of Section 3. On termination, the Licensee must stop using the Commercial Features and stop operating beyond the Free Edition device cap.

6. Support & Updates

Support and updates, if any, are as stated in the applicable order or subscription plan.

7. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

8. Limitation of Liability

IN NO EVENT WILL THE LICENSOR BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS LICENSE.
